Additional message for non-residents of Republic of Kazakhstan on repurchase of preferred shares of KazMunaiGas Exploration Production
In its resolution dated 10 August 2018 the Board of Directors of KazMunaiGas Exploration Production (“Company” or “KMG EP”) approved a programme for buyback of preferred shares of KMG EP. Preferred shares are being repurchased on the Kazakhstan Stock Exchange, the repurchase price is 12,800 per such share.
On 12 November 2018 the Board of Directors of KMG EP passed a resolution to extend the repurchase of preferred shares until 31 January 2019 because of the large number of requests from shareholders. Validity of the preferred shares repurchase offer will expire at 5:00PM on 30 January 2019.
According to clause 3 of Article 6 of the Kazakh Act on Identity Documents, civil transactions by non-residents are made on identity documents if a shareholder is a non-resident, this document is a passport. Therefore, to sell shares a non-resident shareholder must have a passport. Individual identification number (IIN), issued by the tax authority of the Republic of Kazakhstan, is also required to open an account with a broker, pay registrar’s commission fee and open a bank account in order to receive money in the Republic of Kazakhstan.
If it is not possible to arrive in the Republic of Kazakhstan, the shareholder may issue a power of attorney for a person in the Republic of Kazakhstan and send it by mail. The authorized person at the place of residence must contact the relevant organizations for the sale of the shareholder’s shares.
Please, be aware that payments are settled in the national currency, i.e. tenge.
